Welcome to Media Mines LLC. By accessing our website, purchasing our software products, or retaining our design and engineering services, you agree to comply with and be bound by the following Terms & Conditions. Please read these terms carefully.

1. Services Scope & Proposals

Media Mines LLC delivers professional digital services across website design, ecommerce development, bespoke software engineering, AI workflow automation, chatbot development, brand identity design, and digital marketing. Each engagement is formally governed by a mutually agreed proposal or statement of work defining milestones and deliverables.

2. Payment Terms & Invoicing

Payment must be disbursed in accordance with milestones detailed in the project invoice or contract schedule. Standard client projects require an initial deposit prior to kickoff. Failure to settle milestone invoices may trigger temporary suspension of active development until accounts are brought current.

3. Intellectual Property Rights & Code Ownership

Upon final payment receipt, full ownership of client-specific custom source code, graphic assets, and bespoke designs transfers completely to the client. Media Mines LLC retains ownership of pre-existing proprietary frameworks, software products (including PackMCF, Suvio, and Dinvora), and reusable libraries.

4. Client Responsibilities & Assets

Clients agree to supply requisite copy, high-resolution media, access credentials, and timely milestone approvals necessary for delivery. Project timelines agreed upon assume timely feedback within five business days of submission.

5. Limitation of Liability

In no event shall Media Mines LLC, its directors, employees, or contractors be held liable for indirect, incidental, punitive, or consequential damages resulting from third-party hosting outages, algorithm changes, or merchant platform updates beyond our direct control.

6. Inactivity & File Retention

Project files and test servers are archived for 45 days after delivery. Should a client pause or cease communication for more than 45 continuous days without prior notice, the account may be archived, requiring a reactivation review.
